Vexoli

Terms of Service

These Terms of Service govern the use of Vexoli by merchants and their customers. By creating a merchant account, integrating with the Vexoli API, or making a payment through a Vexoli cashier or payment link, you agree to these terms.

Last updated: 21 October 2026.

1. The operator and the service

Vexoli is operated by Vexoli (the “operator”, “we”, “us”). Support can be reached at support@vexoli.theraphael.online.

Vexoli is a UPI payment gateway for businesses in India. The service lets merchants create payment orders through an API, a hosted cashier (including the in-page cashier popup) and shareable payment links; present an assigned UPI ID and QR code for the customer to pay from any UPI app; have each payment automatically verified; receive instant webhook notifications of the verified result; and view a wallet and ledger of every order, fee and settlement. Amounts collected for a merchant are held in the merchant’s Vexoli wallet balance until they become available for settlement to the merchant’s nominated bank account or VPA under Section 5.

A payment is confirmed only when Vexoli marks the order successful after automatic verification. Browser redirects, app callbacks and screenshots are for user experience only and are not proof of payment. Orders that are not paid within the time shown on the cashier expire and must be created again.

2. Merchant accounts and KYC

To receive settlements a merchant must complete the onboarding and know-your-customer (KYC) verification we request, including business details and a settlement bank account or VPA in the merchant’s name. You must keep your account details accurate and up to date, notify us promptly of any change to your settlement destination, and keep your panel password, API keys and webhook secret confidential. You are responsible for all activity carried out with your credentials. Test-mode keys and live keys are separate; only live-mode orders create real payment obligations.

3. Merchant obligations

As a merchant you agree to:

  • Sell only goods and services that are lawful for you to sell, and describe them, and your pricing, accurately to your customers.
  • Fulfil orders you accept, operate your own returns and refund policy in accordance with applicable law, and decide refund requests from your customers promptly — Vexoli processes refunds you approve under the Refund Policy.
  • Verify webhook signatures and check the order status through the API before treating any payment as confirmed or dispatching goods or services.
  • Provide accurate customer details for each order and only data you are entitled to share with us for payment processing.
  • Comply with all laws applicable to your business in India, including consumer-protection, tax (including issuing invoices and accounting for GST on your sales) and sector-specific rules.
  • Respond to our reasonable requests for information about transactions, chargeback-style disputes, duplicate payments or suspected misuse.

4. Prohibited uses

You must not use Vexoli, and must not allow your customers or any third party to use it through you, for:

  • Unlawful goods or services, fraud, deception, money laundering, terrorist financing, or the evasion of any law or court order.
  • Collecting payments on behalf of an undisclosed third party, or reselling or sublicensing the service without our written permission.
  • Gambling, betting, or other restricted categories except where expressly permitted in writing by us and lawful in the applicable state.
  • Infringing the intellectual-property or privacy rights of any person, or collecting payments for goods you have no right to sell.
  • Interfering with the service — including probing, scanning, overloading, attempting to bypass verification, forging webhooks or payment confirmations, or using another merchant’s credentials.
  • Asking customers to pay any UPI ID other than the one assigned to the order, or representing an unverified payment as verified.

5. Fees, wallet, ledger and settlements

Fees. Vexoli charges 2.00% per successful payment, subject to a minimum fee of ₹1 per successful payment (the percentage fee and the minimum are both inclusive of GST — nothing is charged on top for taxes on the fee). The fee is calculated on the order amount, is shown per order in the merchant’s ledger and settlement reports, and is deducted before the net amount is credited to the merchant’s wallet. No fee is charged for orders that are created but not successfully paid. There is no setup fee and no monthly or annual fee on the standard plan. If a different fee is ever agreed for an account, it will be recorded in writing for that account and shown in its reports.

Wallet and ledger. Each merchant has a Vexoli wallet whose balance is the running total of verified successful payments less fees, merchant-approved refunds and settlements already paid. The ledger is the authoritative, order-wise record of gross amount, fee, net credit, refund and settlement entries, and is available in the merchant panel with exportable settlement reports. A wallet balance is a record of amounts payable to the merchant under these terms; it is not a bank deposit and does not earn interest.

Settlement availability — T+1. Net amounts from successful payments become available for settlement on a T+1 basis: amounts verified on a business day become available on the next business day (T+1), subject to completed KYC, a valid settlement destination, and any hold applied under Section 6. Available amounts are settled to the merchant’s nominated bank account or VPA in accordance with the settlement cycle shown in the merchant panel. Settlement reports show, for every order, the gross amount, the fee deducted and the net settled amount.

Errors and adjustments. If an amount is credited or settled in error, or a payment is later found to be duplicate, unauthorised or reversed through banking channels, we may reverse or adjust the corresponding ledger entry and recover the amount from subsequent settlements, notifying the merchant in the panel.

6. Suspension and termination

We may suspend an account, pause settlements, or hold specific amounts where we reasonably believe there is fraud, a prohibited use, incomplete or failed KYC, a legal or regulatory requirement, an unresolved dispute or duplicate-payment review, or a risk to other users or to Vexoli. Where the law allows, we will notify the merchant of the suspension and what is needed to lift it.

Either party may terminate the merchant account at any time: a merchant may close the account from the panel or by writing to support@vexoli.theraphael.online, and we may terminate for material breach of these terms, prolonged inactivity with a zero balance, or where we discontinue the service with reasonable notice. On termination, amounts already verified and available, less approved refunds, fees and any amounts we are required to hold by law, are settled to the nominated destination; the treatment of balances on account cancellation is also described in the Refund Policy. Sections on fees already earned, records, liability and governing law survive termination.

7. Customers

A customer’s contract for goods or services is with the merchant, not with Vexoli. Vexoli provides the payment service used by the merchant. Customers must pay only the amount and the assigned UPI ID shown on the cashier for their order, and keep their Order ID and UPI transaction reference (UTR) until the order is fulfilled. Refunds are approved by the merchant and processed by Vexoli back to the source account, as described in the Refund Policy.

8. Availability and liability

We work to keep the service continuously available and publish service status on the Status page, but the service depends on UPI and banking infrastructure outside our control and is provided without a guarantee of uninterrupted availability.

To the maximum extent permitted by law, Vexoli is not liable for indirect, incidental or consequential losses, loss of profits or loss of goodwill; for losses arising from the goods or services sold by a merchant, from a merchant’s failure to verify webhooks, or from payments a customer makes to a UPI ID not assigned to the order; or for delays caused by banks or the UPI network. Our aggregate liability arising from the service in any 12-month period is limited to the fees paid to us by the affected merchant in that period. Nothing in these terms limits liability that cannot be limited under the laws of India, including liability for fraud.

9. Privacy, changes and governing law

Personal data is handled as described in the Privacy Policy. We may update these terms; material changes will be notified to registered merchants by email or in the panel before they take effect, and continued use of the service after the effective date is acceptance of the updated terms.

These terms are governed by the laws of India. Disputes that cannot be resolved through support or the grievance process described in the Privacy Policy and on the Contact page are subject to the exclusive jurisdiction of the competent courts in India.
